OneBee Trust Center Nondisclosure Agreement

You accept this agreement when you request documents from the trust center. Every document we share under it carries your email address as a watermark.

1. Parties

This agreement is between OneBee, Inc. ("OneBee") and the company named in the access request ("Recipient"). The person who accepts it does so on behalf of Recipient and confirms they are authorized to. A person who is not acting for a company is the Recipient.

2. Confidential Information

"Confidential Information" means every document OneBee makes available to Recipient through the OneBee trust center, including audit reports such as SOC reports and security policies, and the information in them. Copies, extracts, notes and summaries of it are Confidential Information too.

3. Purpose

Recipient may use Confidential Information only to evaluate OneBee's security, privacy and compliance practices in connection with a current or potential business relationship with OneBee.

4. Recipient's obligations

Recipient will keep Confidential Information confidential using at least reasonable care, and will share it only with its own employees, contractors and professional advisers who need it for the purpose in section 3 and are bound by confidentiality obligations at least as protective as these. Recipient is responsible for their compliance. Recipient will not publish or post Confidential Information, will not share it with any other third party, will not load it into any third-party service that may retain or use it for any purpose other than providing that service to Recipient, including training an AI model, and will not remove or obscure any watermark, confidentiality marking or notice on it. Recipient will promptly notify OneBee if it becomes aware of any unauthorized use or disclosure of Confidential Information.

5. Exclusions

These obligations do not apply to information that is or becomes public through no fault of Recipient, that Recipient already knew without a duty of confidentiality, that Recipient lawfully receives from a third party without a duty of confidentiality, or that Recipient develops independently without using Confidential Information.

6. Disclosure required by law

Recipient may disclose Confidential Information when the law or a court requires it, after giving OneBee prompt notice where the law allows, and only the part that is required.

7. Audit reports

SOC and other audit reports are also subject to the use restrictions stated in the report itself. Where those restrictions are narrower, they apply.

8. Return and deletion

When OneBee asks, or when Recipient no longer needs it for the purpose in section 3, Recipient will delete or destroy the Confidential Information it holds. Copies kept in routine backups or to meet a legal retention duty may stay, and remain confidential under this agreement.

9. No license, no warranty, no obligation

Confidential Information is provided as is. This agreement grants no license or other right in it, and neither party is obliged to enter into any further agreement or business relationship.

10. Term

This agreement covers Confidential Information disclosed under it. Recipient's obligations last for three years from each disclosure, and for any trade secret, for as long as it remains a trade secret.

11. Remedies

Unauthorized use or disclosure of Confidential Information may cause OneBee harm that money alone cannot repair, so OneBee may seek an injunction or other equitable relief in addition to any other remedy.

12. Existing agreements

If Recipient and OneBee have a signed agreement whose confidentiality terms cover this information, such as a master services agreement or a nondisclosure agreement, that agreement controls where it conflicts with this one, except that any term of this agreement that is more protective of OneBee's Confidential Information also applies.

13. Governing law

This agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. The state and federal courts located in Suffolk County, Massachusetts have exclusive jurisdiction over any dispute about it.

14. Electronic acceptance

Accepting this agreement electronically in the trust center has the same effect as a signature. OneBee keeps a record of each acceptance: the text and version accepted, the name, email address and company given, the time, and the IP address and browser it came from. Subject to section 12, this is the entire agreement between the parties on its subject.
